ANALYSIS OF THE GRACELAND DEAL

In 1979 Memphis Mayor Wyeth Chandler wanted the city to buy Graceland (asking price rumored to be $10-11 million). Jack Soden's business partner, who handled Lisa Marie Presley's estate for Priscilla Presley, wanted to sell Graceland in 1981. It is a good thing for Lisa Marie Presley that neither got their wish.
Soden's business partner, Morgan Maxfield, died an untimely death in a private jet crash over Labor Day weekend in 1981, leaving Soden to pursue his vision of opening Graceland to a very hungry public.
When Soden took over Graceland and began the formation of Elvis Presley Enterprises, Graceland itself had hemorrhaged money. Colonel Parker's 'accounting' for Vernon Presley had bled the estate dry.
The IRS wanted a big chunk of change from the estate, too. Fans wanted to visit Graceland, but security costs and upkeep kept the estate finances in negative territory to the tune of approximately $500,000 a year. Elvis' reputation had taken a beating during the Dr. George Nichopolous trial as well as from the tawdry details of Albert Goldman's book Elvis.
Elvis' world did not look so good. Elvis' chronicler Bill Burk wrote in June, 1982: 'When Graceland swings its doors open Monday, it will be like the founding of a new industry in Memphis.' And right he was! Admission was $5.00 a head and thousands of fans (and fanatics) lined up every morning for the new tour. Graceland could handle three thousand per day, and in the first year Elvis Presley Enterprises took in $1.35 million. Cash poured through the doors.
The next task Soden had was to corral all of the unlicensed Elvis products on the market and create a new paradigm for the intellectual property (trademark and copyrights) of a celebrity's image. Soden and company did not just re-write the book on the celebrity image business; they created the rules of the industry. There is no doubt that they were the force behind the 1984 Tennessee statute regarding Protection of Personal Rights.
EPE has used its war chest and lawyers to pursue the rights of Elvis' image to the ends of the earth, sometimes at a major negative publicity cost. Seldom has Soden's team lost, and when they have, it has been over inconsequential financial circumstances. Their litigiousness has made hucksters reconsider illegally using the King's image and has increased the negotiation value of the estate with any legitimate licensees. Twenty-two years later, Elvis' image is restored.
EPE's business is intact, running like a well-oiled machine and clearing $12 million a year in profit (a surprising figure, given the very few music rights available to EPE for Elvis' biggest hits, an unfortunate Colonel Parker legacy). EPE has just negotiated a sweetheart deal for Lisa Marie Presley. Presley's new benefactor is media mogul Robert Sillerman, who made a massive fortune selling his concert company SFX to Clear Channel for over $4 billion in 2000. Presley will receive $53 million in cash; $25 million in debt assumption; and $22 million in preferred stock of SillermanÕs new company as well as 500,000 shares in common stock of SillermanÕs new company. She will still own 15% of Elvis Presley Enterprises, which Sillerman is buying.
What did Presley have to give up for this treasure trove of receivables? She keeps her father's personal effects and Graceland, which is a great p.r. move to appease the zealotlike Elvis fans as well as a physical and emotional tie to her father. She will continue to license the use of Graceland and these effects through EPE to Sillerman's company. She merely extends the licensing capabilities from EPE to Sillerman's company for worldwide promotion and exploitation. In effect she is giving the rights to Elvis' image, those that EPE has accrued and has been licensing worldwide, to Sillerman's new company for a huge chunk of change plus approximately 15% of Sillerman's new company.
If Sillerman creates a bigger licensing market for Elvis, she will profit nicely. If not, she will have received almost 8.5 times EPE's net profit per year for those rights. Although all employees of EPE are listed as remaining, were he to retire after this deal, Soden could smile, knowing that he had mastered the art of the Colonel Parker deal, getting far more than ever imaginable from the use of Elvis. So Sillerman got taken on this deal, eh? Not exactly. Sillerman has enough resources and capital to take Elvis to the ends of the earth, where Elvis has not yet reached his potential.
Translation: Graceland will still be Elvis' home base, but hello to Japan, China, and Europe, where Elvis is extremely well-known and his image use is very under-served. Not mentioned in the deal but certainly implicit is that Elvis the image has just become the star attraction and calling card in a new entertainment company. Sillerman will undoubtably use the Elvis image as bait to attract licenses from other celebrities (and their estates) alive and dead ('Hey, kiddo, if it's good enough for the King, you can't go wrong with Sillerman'). It would be hard to argue that the #1 entertainment image in the world is a bad one with which to begin a company.
Most media buyers will take Sillerman's calls just on the Elvis name, even if they were not familiar with the mega-entrepreneur previous to this deal. Memphis probably will not notice much difference in the use of the image, but other countries will most likely see a much higher presence of the King in all media formatsOne thing concerning the deal that gives Presley watcher's pause is Lisa Marie herself. How has EPE built $25 million worth of debt on the basis of $12 million in net profit per year?
Obviously her marriage to Michael Jackson taught her the profligate ways of Hollywood. Or perhaps this deal will merely cover some sort of massive Scientology debt she owes. Ms. Presley is approaching her maximum spending years, and if she continues to spend more than she makes, this deal would merely be a one time stopgap.
Either way, once the dust has cleared on this deal, Lisa Marie pockets $50 million, erases her debt, keeps the house, and becomes a large shareholder in a company destined to succeed with the worldÕs number one entertainment image in the growing industry of celebrity licensing. In her press release Lisa Marie Presley's quote is a big disappointment, making this deal sound like it is in her father's interest: "My greatest responsibility to my father is to preserve and protect his legacy."
Au contraire! This deal is about maximizing Ms. Presley's financial interests with the prospects that visitations to Graceland may continue to slow down with the aging of the '50s generation of rock 'n roll fans. Maximizing the return on Elvis and his image has been the focus point of Elvis' career since the Colonel got hold of him, and this deal is no different, albeit a sweet once-in-a lifetime one that the Colonel himself would be proud of. Indeed it is good to be the king's daughter!

Elvis was said to have performed or at least attended the after show jamboree in Ernest Tubb's record shop after his appearance at the Opry in 1954. Tubb at one time was managed by Oscar Davis who was an associate and advance man for the Colonel and saw Elvis perform at the Eagles nest. Tubb's son Justin toured with Elvis in the early part of 56.

Bruce Roberts (Tampa Tribune) was sent to the National Guard Armory to photograph Elvis: "It was a slow news day at the Tampa Tribune and the city editor sent me over to the National Guard Armory to photograph a new singer that 'Colonel Parker' had just found and thought was the hottest thing around. The Colonel and the city editor were friends and I suspected this was just a way to get the Colonel's latest protégée's picture in the newspaper. Imagine my surprise when I found the place packed with girls. They were all there to see a kid named 'Elvis.' A couple of the girls who couldn't get in waved to him through the chain link fence and he smiled back. Just a small gesture from this charming young man conjured up dreamy looks on their pretty faces. The show was outstanding and the girls went crazy. But we couldn't use the photos because the editor said it was something about the way he moved his hips that was just too suggestive…."

Elvis' first single to hit a national chart



Elvis' first single to hit a national chart was "Baby Let's Play House"/"I'm Left, You're Right, She's Gone" on Sun Records, in the summer of 1955. It was his fourth release on Sun and it stayed on the chart for 15 weeks. A clean copy of that 45 rpm single today can be worth $3,000 and up

Rock 'n' Roll King Given Plaque at City Hall.

One of Memphis´ most famous citizens Elvis Presley today presented a $55,000 Merry Christmas present to 58 Memphis charities.
He gave $500 to some, more to others.
The mayor´s office was overflowing with representatives of the organizations.
Elvis arrived shortly after 2 p.m.
Presley was then given a life-size plaque (six feet tall) from the organizations.
"Good grief," said Presley. "That's beautiful, but I may have to build a room just to keep it in."
Mayor-elect Ingram spoke next.
"I think the proper place to keep it would be in the Elvis Presley Coliseum."
Elvis presented the checks to the organizations, then signed autographs, many on the .... envelopes which contained the checks.
Presley was sharply dressed in a black continental suit and a black vest, black suede shoes, black tie and stick pin and a fancy gabardine coat with velvet collar.
Presley has been in Memphis about a week. He will be here thru Christmas and his birthday - Jan. 8, when he will be 29. He said he would return to Hollywood in February.
The Goodfellows and the Cynthia Milk Fund of the Press Scimitar were two of the organizations receiving gifts.

Top the Charts in 1955-56

Throughout Elvis Presley's career, from 1954-1977, Billboard magazine's record charts were recognized as the standard in the music industry. Even today no recording from that era can legitimately be called a #1 record unless Billboard rated it so. Other publications, such as Variety and Cashbox, published record charts, but none of them carried the weight of Billboard's. In deciding which new records to play, disk jockeys across the nation trusted the magazine's recommendations.
In the mid-fifties, Billboard reviewed selected 45 rpm single releases in two weekly columns. The first, labeled "Review Spotlight," briefly assessed and recommended new releases that the magazine felt had potential for commercial and chart success. If a "Spotlight" single sold well in key markets, it might be featured again in Billboard's more prestigious "This Week's Best Buys" column. All of Elvis's single releases in 1955 and 1956 were mentioned in one or both of these Billboard columns. This is what the magazine had to say about them.
January 29, 1955: Billboard reviewed "Milkcow Blues Boogie" / "You're a Heartbreaker" (Sun #215)
"'Milkcow Blues Boogie' … Presley continues to impress with each release as one of the slickest talents to come up in the country field in a long, long time. Item here is based on some of the best folk blues. The guy sells all the way. 'You're a Heartbreaker' … Here Presley tackles the rhythmic material for a slick country-style reading. What with the good backing this one should get action, too."
 
June 25, 1955: Billboard reviewed "Baby, Lets Play House" (Sun 217) in its "Best Buys" column.
"In the past few weeks, various Southern territories have been seeing nice action with this disk. After a strong kick-off in the Memphis area, it has begun to sell well in Houston, Dallas, New Orleans, and Nashville and is moving out now in Richmond, St. Louis and the Carolinas. Flip is 'I'm Left, You're Right, She's Gone.'"
 
September 10, 1955: Billboard reviewed Elvis's last Sun release, "I Forgot to Remember to Forget" / "Mystery Train" (Sun 156) in its "Best Buys" column. (A month later Elvis would switch to the RCA label.)
"With each release, Presley has been coming more and more quickly to the forefront. His current record has wasted no time in establishing itself. Already it appears on the Memphis and Houston territorial charts. It is also reported selling well in Richmond, Atlanta, Durham, Nashville and Dallas. Both sides are moving with 'I Forgot' currently on top."
 
February 11, 1956: Billboard reviewed Elvis's first RCA release, "Heartbreak Hotel" / "I Was the One" (Victor 6420) in its "Review Spotlight" column.
"Presley's first Victor disk might easily break in both markets. 'Heartbreak Hotel' is a strong blues item wrapped up in his usual powerful style and a great beat. 'I Was the One' is about as close to r.&b. as you can get without horns and has more pop appeal. Presley is riding high right now with network TV appearances, and this disk should benefit from all the special plugging."
 
February 18, 1956: Just a week later, Billboard again featured "Heartbreak Hotel," this time in its "Best Buys" column.
"Another record that has demonstrated Presley's major league stature. Sales have snowballed rapidly in the past two weeks, with pop and r.&b. customers joining Presley's hillbilly fans in demanding this disk. Richmond, Atlanta, Nashville, Durham, New Orleans and Memphis reports were swelled by action on the West Coast and in Middle Western States. Flip is 'I Was the One.'"
 
May 12, 1956: Elvis's second RCA release, "My Baby Left Me" / "I Want You, I Need You, I Love You," was covered in Billboard's "Review Spotlight" column. (Notice that "My Baby Left Me" was listed as the "A" side.)
"Another pair of exciting Presley sides have the big-money look. The top features a real blues with that wild r.&b. infusion so well calculated to hit the all-market pay-off. On the flip, it's a different, more gentle Presley, but he still vibrates with that husky, coin-pulling charm. Either one or both could be the big 'Heartbreak Hotel' follow-up."
 
May 19, 1956: The same record was again featured in the "Best Buys" column. Billboard was still rating "My Baby Left Me" as the "preferred" side.
"In The Billboard last week a story detailed the phenomenal advance sale of this new Presley disk. A spot check in all key markets this week indicated that the ground work for huge volume selling was well prepared, and that the record moved over the counters in expected quantities. Both sides have gotten generous deejay play which has helped stimulate activity, but 'My Baby Left Me' is currently the preferred side."
 
July 21, 1956: Elvis's third RCA single, "Hound Dog" / "Don't Be Cruel" (Victor 6604) appeared on Billboard's "Review Spotlight" list.
"Presley hyped the 'Hound Dog' side on a recent Steve Allen TV airing which gave a solid, early kickoff. It's a highly charged rhythm opus in Presley's characteristic style and should enjoy heavy commercial acceptance. 'Don't Be Cruel' is in a more subdued, frankly popish vein, and demonstrates that the singer is a versatile stylist."
 
July 28, 1956: A week later "Hound Dog" appeared again as a Billboard "Best Buy."
"From first-week reports, it has become clear already that this will be one of this year's big grossers. Sales in pop, c.&w. and r.&b. markets have exceeded the impressive starting figures of previous Presley hits—and that is going some. There are some indications that the flip, 'Don't Be Cruel,' may also develop after the initial excitement on 'Hound Dog' dies down a bit."
 
September 22, 1956: The previous week, Billboard had listed the seven Elvis singles that RCA had released simultaneously. On this date, though, the magazine featured "Blue Moon" / "Just Because" (Victor 6640) as the one of the seven with the most sales potential.
"Of the seven singles released by Victor two weeks ago, all from artist's album, this disk, with emphasis on 'Blue Moon,' is stepping out and starting to move. All seven have been reported as good sellers and the strength is well distributed throughout the country. 'Money Honey' and 'I'll Never Let You Go' are two other sides reported as strong sellers."
 
October 6, 1956: Billboard put its "Spotlight" briefly on the soon-to-be-released "Love Me Tender" / "Anyway You Want Me" (Victor 6643).
"Titled tune from Presley's first flick has set a record for advance orders, which now exceed a million. Further comment unnecessary."
 
October 13, 1956: A week later in its "Best Buys" column, Billboard covered "Love Me Tender" in more detail. It was Elvis's last single release of 1956.
"A hit before it was ever released, this disk since issued has chalked up an all-time record for first week volume. Acceptance in the pop, country and rhythm & blues fields is complete, and, as on his last record, should soon be dominating the charts of all three categories. 'Love Me Tender' has gotten the lion's share of attention so far, but there are some indications that the flip may also come in for a share of the spotlight a little later."
 
As we've seen, Billboard gave positive reviews to all of Elvis's single releases in the 1955-1956 period. The magazine's support by itself didn't make Elvis a star, but it certainly gave some credibility to his sudden rise to fame

During his breakout year of 1956, it was to be expected that whenever Elvis appeared in a community he would be the target of criticism leveled by civic groups and government agencies who felt his act was a negative influence on teenagers. However, adult anxiety over Elvis caused him to be blamed for some teenager misdeeds, even in cities where he had never appeared.One example was Ottawa, Canada, where police raided a beer party in July 1956. According to a July 18, 1956, article in Variety, "When police walked in, Presley pictures were on the walls, Presley disks were on the record players, 'I Love Elvis' badges were on blouses and skirts. 'It's a pain in the neck,' said a policeman.'" The president of the Ottawa Elvis Presley Fan Club, 18-year-old Bernard Raymond, who was among those detained, later pleaded guilty to participating in drinking at the party.
Raymond was ousted from the club for his actions, and the Elvis club decided to do the same to any of their members (over 1,200 at the time) who disgrace the club in any way in the future. "We have no intentions of being connected with these so-called rock 'n' roll violence worshippers," said club secretary Peter Mercer.
Meanwhile, that same month Aylmer, another town in Quebec, took steps to "strike Elvis Presley off the books." Honorius Belesque, 18, mayor-elect of Aylmer's "Teen Town," called for a ban on Elvis's teenage followers. (Variety's report on the ban included no details on how the "ban" would be enforced.) Belesque said she favored a more "liberal" trend in music but called Elvis's songs "suggestive." Her call for a ban on Elvis's music failed to draw support from local jukebox operators, who refused to remove Presley disks from their machines.
